TransDigm to Acquire Stellant Systems for $960 Million in Cash

U.S. aerospace components maker TransDigm Group said it has agreed to acquire Stellant Systems, a manufacturer of radio frequency and microwave amplification products, in an all-cash transaction valued at $960 million, expanding its exposure to space and defence electronics.

TransDigm announced the definitive agreement on Dec. 31, saying the acquisition remains subject to customary regulatory approvals. Stellant Systems will continue to operate under its existing name with no changes to day-to-day operations, a company representative said on Wednesday.

Stellant Systems has been owned since 2021 by private equity firm Arlington Capital Partners. The company was formed from the former L3Harris Electron Devices division and Narda Microwave-West, and is the only manufacturer of space-qualified travelling wave tubes in the United States. Its products are used across commercial and defence platforms, including satellite applications such as Airbus’s OneSat programme.

TransDigm said Stellant is expected to generate about $300 million in revenue for the calendar year ending Dec. 31, 2025.

“[Stellant’s] highly engineered, proprietary products generate significant aftermarket revenue and fit well with our long-standing business strategy,” TransDigm Chief Executive Mike Lisman said. “The company has established positions across a diverse range of both commercial and defense platforms, adding new products and services to TransDigm’s portfolio.”

TransDigm, which is publicly listed, designs and supplies aircraft components for both original equipment manufacturers and aftermarket customers. The acquisition underscores continued consolidation in the aerospace and space supply chain, as large suppliers seek specialised technologies tied to satellite, defence and communications programmes.
